1. Interpretation and Definitions
Words whose first letter is capitalised have the meanings given below, whether they appear in the singular or the plural.
- Company (“we”, “us”, “our”) means Samdos Technologies GC, a Nigerian company registered with the Corporate Affairs Commission (RC: 3400177).
- Service means the Samdos Event Application available at https://app-event.samdos.org, together with this website.
- Organizer means a person or organization that creates an account and publishes events through the Service.
- Attendee means a person who registers for, or receives a ticket to, an event published through the Service.
- Event means any event, session, appointment or programme an Organizer publishes through the Service.
- Ticket means a free or paid entry to an Event, with its QR code.
- Participant Fee means the online ticket fee charged by the Company for each paid participant, as described in section 6.
- Account means the unique account created for you to use the Service.
- Terms means these Terms and Conditions.
2. Acceptance of These Terms
By creating an account, publishing an Event, registering for an Event or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
You confirm that you are at least 18 years old, or that you act with the consent of a parent or guardian, and that you have the authority to bind any organization you register on behalf of.
3. Accounts and Organizations
Organizers must provide accurate, complete and current information when registering and when setting up their organization. You are responsible for everything that happens under your Account and for keeping your password secret.
We may suspend an Account or an organization that provides false information, is used for fraud, or breaks these Terms. A suspended organization cannot take new registrations.
4. Account Security
We offer two-factor authentication, trusted-device sign-in and Google sign-in to protect your Account. You must not share your password or verification codes, and you must tell us at once at [email protected] if you suspect unauthorised access.
Samdos support staff may sign in to an Account, using our internal administrator access, only to manage or support that Account.
5. Acceptable Use
You agree not to use the Service to:
- promote, sell tickets for or organize any unlawful event, or to defraud Attendees;
- publish false, misleading, defamatory, discriminatory or obscene content;
- collect personal data you have no lawful reason to collect, or use Attendee data for anything other than running the Event;
- attempt to access other accounts, probe or disrupt the Service, or scrape it by automated means;
- send unsolicited bulk invitations or spam through the invitation feature;
- infringe the intellectual property or privacy rights of others.
6. Fees and Payments
The Service is priced as follows. Standard rates are shown on our website and may be negotiated for large or regular Organizers.
- Free events. Creating a free event costs nothing. A free event, and any free ticket, carries no fee and takes up to 500 participants per event.
- Paid events, Organizer pays. The Organizer prepays a Participant Fee (standard rate NGN 500) for each paid participant they expect before registration opens, and may add more participants at any time. Free tickets do not use paid places. A further NGN 100 per participant applies where the Company collects ticket payments for the Organizer.
- Paid events, attendees pay. Where available, the Participant Fee is added to each paid ticket and paid by the Attendee with the ticket price. Free tickets, and tickets that become free through a coupon, carry no fee.
- Ticket payments. Ticket money is processed by Flutterwave. Either it goes straight to the Organizer's own Flutterwave account, or the Company collects it and settles it to the Organizer's bank account after keeping any Participant Fee due.
- No refunds of prepaid fees. Participant Fees already paid are not refundable, including when an Event is cancelled or deleted, except where required by law or where we agree otherwise in writing.
- Price changes. We may change standard rates for future payments. Payments already made are not affected.
Payment processing charges by Flutterwave and your bank, and any taxes, are separate from our fees and are your responsibility.
7. Organizer Responsibilities
As an Organizer you are solely responsible for your Events: their description, date, venue or meeting link, pricing, quality, safety, permits and delivery. The Company provides the technology and is not the organizer, seller or host of any Event.
You must honour the tickets you sell, publish your own refund policy where you offer one, answer questions from Attendees, and handle refunds and disputes with Attendees directly. You must keep Attendee information confidential and use it only to run the Event.
8. Attendees and Tickets
A Ticket is personal to the Attendee named on it and may be refused at the entrance if it is copied, altered or already used. The QR code on a Ticket is read by the Organizer's scanner to record check-in and check-out.
Contracts for attendance are between the Attendee and the Organizer. Refund requests go to the Organizer, who is responsible for the Event.
9. Invitations, Virtual Events and Appointments
Invitation-only Events accept registrations only from the email addresses the Organizer has invited. Meeting links for virtual Events are shown only on the Ticket page and Ticket email and must not be shared publicly.
For one-to-one Events an appointment is held for an Attendee for a short time while they pay; if payment is not completed the slot is released.
10. Content
You keep ownership of the content you upload, such as event descriptions, images and logos, and you give us a limited licence to host, display and transmit it to operate the Service. You confirm that you have the right to use that content and that it does not break the law or these Terms.
We may remove content that breaks these Terms or the law.
11. Data Protection
Our handling of personal data is described in the Privacy Policy and follows the Nigeria Data Protection Act 2023. For Attendee data, the Organizer decides why and how it is used and is responsible to Attendees for that use.
12. Intellectual Property
The Service, its design, software and the Samdos name and logo belong to the Company. These Terms give you a limited, non-exclusive right to use the Service for your Events and do not transfer any ownership to you.
13. Third-Party Services
The Service relies on third parties, including Flutterwave for payments, email delivery providers, cloud storage and database hosting. We are not responsible for third-party services, and your use of them may be subject to their own terms.
14. Availability and Changes
We work to keep the Service available but do not promise it will be uninterrupted or error-free. We may add, change or remove features, and we will try to give notice of changes that significantly affect Organizers.
15. Suspension and Termination
You may stop using the Service at any time. We may suspend or end your access immediately, without liability, if you breach these Terms, put others at risk or if we must do so by law. Sections that by their nature should survive termination will survive.
16. Disclaimer
The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, including fitness for a particular purpose, and we do not guarantee ticket sales, attendance or results from any Event.
17. Limitation of Liability
To the fullest extent the law allows, the Company is not liable for indirect, incidental or consequential loss, loss of profit, revenue or data, or for anything that happens at or because of an Event. Our total liability for any claim relating to the Service is limited to the fees you paid to us in the three months before the claim arose.
18. Indemnity
You agree to defend and indemnify the Company against claims, losses and costs arising from your Events, your content, or your breach of these Terms or the law.
19. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. We encourage you to contact us first to resolve any dispute informally. If it cannot be resolved, it will be submitted to the courts of Lagos State, Nigeria.
20. Changes to These Terms
We may update these Terms from time to time and will post the new version on this page with a new “Last updated” date. Continuing to use the Service after a change means you accept the updated Terms.
